These Terms of Service (“Terms”) govern your access to and use of the website and related digital properties operated by Ignition Technology LTD (“Ignition Technology”, “we”, “us”, or “our”), together with any professional technology services we agree to provide in a separate order form, statement of work, or master services agreement (collectively, the “Services”).
By accessing the site or engaging Ignition Technology, you confirm that you have authority to bind your organisation and that you accept these Terms. If you do not agree, do not use the site or purchase Services.
1. Services, orders, and payment
Scope: Unless otherwise agreed in writing, descriptions on the site are illustrative. The scope, deliverables, assumptions, timelines, fees, and acceptance criteria for paid work are defined only in a signed or electronically agreed order, statement of work, or equivalent contract instrument.
Fees and expenses: Fees are as quoted in the applicable agreement. Unless stated otherwise, invoices are due within the period specified on the invoice. Late payment may incur statutory or contractually specified interest and may result in suspension of Services until accounts are brought current. Client-approved expenses (for example, third-party licences or travel) will be invoiced as agreed.
2. Intellectual property
As between the parties, each party retains ownership of its pre-existing intellectual property. Unless expressly assigned in a written agreement, Ignition Technology retains ownership of its methodologies, tools, templates, training materials, and generic know-how. Deliverables created specifically for you and paid in full are licensed or assigned as set out in your statement of work. Client-provided logos, data, software, and configurations remain your property.
3. Client responsibilities
You will provide timely access to stakeholders, documentation, test environments, and administrative credentials reasonably required for delivery. You are responsible for the accuracy of information you supply, for maintaining backups where appropriate, and for ensuring that your use of third-party products complies with applicable vendor terms and law. You must not use the Services to develop unlawful surveillance, malware, or other harmful capabilities.
4. Confidentiality
Each party will protect the other’s confidential information using no less than reasonable care and will use it only to perform under the agreement. Confidentiality obligations survive termination as described in your order or statement of work.
5. Data protection
Where we process personal data on your behalf, the parties will document roles and responsibilities in a data processing agreement or equivalent clauses where required by law. Our site privacy practices are described in the Ignition Technology privacy policy.
6. Warranties and disclaimer
Except as expressly stated in a signed agreement, the site and any pre-contractual materials are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Ignition Technology disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Technology outcomes depend on factors outside our control (including third-party platforms, internet connectivity, and client-side changes). Any illustrative calculators or dashboards on the site are not guarantees of savings, uptime, or performance.
7. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Subject to the foregoing, to the maximum extent permitted by law, Ignition Technology will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from or related to the site or Services. Our aggregate liability arising out of or related to the site (excluding paid Services governed by a separate cap, if any) will not exceed one hundred pounds sterling (£100).
8. Termination
Either party may terminate paid Services as set out in the applicable agreement. We may suspend or terminate access to the site where necessary to address security incidents, abuse, or legal obligations. Provisions that by their nature should survive (including confidentiality, intellectual property, limitations of liability to the extent enforceable, and governing law) will survive termination.
9. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales will have exclusive jurisdiction, subject to any mandatory rights you may have as a consumer where applicable law provides otherwise.
10. Changes
Ignition Technology may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date where appropriate. For material changes affecting active clients, we will use reasonable efforts to provide notice in line with contractual commitments.
